1. Introduction and Acceptance
These Terms and Conditions (“Terms”) govern access to and use of the Closeify website and the general terms applicable to enquiries concerning Closeify’s business consulting, sales mentorship, high-ticket sales closing and related services.
By accessing or using this website, you agree to comply with these Terms to the extent applicable to your use. A separate written proposal, service agreement, statement of work or other accepted commercial document may govern the purchase and delivery of specific services.
Where a separate engagement agreement has been validly concluded, that agreement shall govern the specific engagement in accordance with its terms. These website Terms do not automatically override, supplement or retrospectively amend an existing agreement.
3. Services and Scope of Engagement
Closeify may provide business consulting, sales mentorship, training, sales process guidance, sales closing support and other related services, as specifically agreed with the relevant client.
The scope, deliverables, timelines, responsibilities, fees, review procedures and other material terms of a paid engagement shall be determined by the applicable accepted proposal or Agreement.
No service, deliverable, additional session, guarantee, performance commitment or commercial benefit shall be treated as included merely because it is mentioned in a general discussion, marketing statement or website description, unless incorporated into the accepted engagement terms or otherwise binding under applicable law.
Any change to the agreed scope must be documented and accepted in accordance with the amendment procedure set out in the applicable Agreement.
4. Proposals, Fees and Payment
Service pricing may be communicated separately through an authorised proposal, quotation, invoice or other commercial communication. Prices are not necessarily displayed on this website.
Payments shall be made through Closeify’s officially authorised Razorpay checkout pages or against a valid invoice issued by Closeify. Clients should independently verify payment instructions and must not transfer fees into personal bank accounts purportedly belonging to Closeify or its representatives.
Applicable taxes, including GST where chargeable, shall be addressed in the relevant proposal, invoice and applicable legal requirements.
Payment schedules, instalments, due dates, late-payment consequences and any other payment conditions shall be governed by the accepted engagement terms and applicable law.
5. Commencement and Client Responsibilities
The commencement of services shall be determined by the accepted Agreement, including any applicable payment, onboarding, access, approval or documentation requirements.
The client shall provide information, materials, approvals, access and other dependencies expressly required under the Agreement within the applicable timeframes, where reasonably available.
Closeify shall identify material client dependencies and communicate their effect on delivery timelines in accordance with the applicable Agreement. A client-dependent delay may justify a corresponding adjustment only to the extent permitted by the Agreement and reasonably attributable to that dependency. It shall not automatically excuse unrelated obligations or delays attributable to Closeify.
6. Deliverables, Reviews and Corrections
Deliverables, agreed due dates, fee allocations and review procedures shall be determined by the accepted engagement documents.
Where the Agreement provides for a review period, the client shall submit consolidated comments identifying material omissions, errors or departures from the agreed scope within that period. Closeify shall address corrections falling within the agreed scope in accordance with the applicable correction procedure.
Requests that materially expand the scope, introduce new deliverables or require additional work may be treated as variations and may require separate written agreement and additional fees.
Submission of a deliverable does not automatically excuse material non-compliance with the agreed requirements. Any acceptance, deemed acceptance or treatment of latent defects shall be governed by the Agreement and applicable law.
7. No Employment or Commercial Outcome Guarantee
Closeify does not guarantee employment, placement, a sales role, client acquisition, a particular closing rate, income, revenue or any other specific business result.
Participation in training or mentorship does not create an entitlement to employment or commercial opportunities. Any opportunity remains subject to performance, suitability, client requirements, availability, selection criteria and prevailing market conditions.
Business outcomes depend on multiple factors, including the client’s offer, pricing, lead quality, sales execution, market conditions and implementation effort. Testimonials, case studies and performance figures are not guarantees of future or comparable results.
8. Cancellation and Refunds
Cancellation, termination and refund rights shall be determined by the applicable accepted Agreement, the Closeify Refund Policy to the extent validly incorporated into the engagement, and applicable law.
Under Closeify’s stated contractual non-delivery refund mechanism, a refund may be due for an identified Deliverable where the applicable eligibility conditions are satisfied, including expiry of the agreed due date, receipt of the required written notice and failure to submit the Deliverable within the ten (10) calendar-day Cure Period.
Where eligible, the contractual refund is calculated by reference to the agreed Allocated Fee for the affected Deliverable, with payment due within seven (7) business days following expiry of the Cure Period, as set out in the Refund Policy.
No provision of these Terms removes an accrued refund entitlement or any statutory right that cannot lawfully be excluded. The Refund Policy does not retrospectively amend an existing engagement.
9. Intellectual Property
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property, materials, methods, frameworks, templates, tools, trademarks and proprietary information.
Ownership of, and rights to use, engagement-specific deliverables shall be governed by the applicable Agreement. Payment, access to a document or participation in training does not automatically transfer ownership of all underlying methods, frameworks or intellectual property used to create the deliverable.
You must not reproduce, distribute, resell, publish, commercially exploit or create derivative works from Closeify’s proprietary materials except to the extent authorised in writing or permitted by applicable law.
You retain responsibility for ensuring that materials you provide to Closeify may lawfully be used for the agreed engagement.
10. Confidentiality
Each party shall comply with the confidentiality obligations expressly agreed in the applicable Agreement and those imposed by applicable law.
Confidential information shall not be disclosed or used beyond the permitted purpose, except with authorisation, where disclosure is legally required, or where another applicable exception applies.
Where an engagement requires a separate non-disclosure agreement, that agreement shall govern confidentiality to the extent specified in its terms.
11. Acceptable Use and Conduct
You must not use the website or services for unlawful, fraudulent, deceptive or unauthorised purposes, attempt to compromise website security, or knowingly provide materially false information.
The parties are expected to communicate professionally. Documented threats, harassment, abusive conduct or serious misconduct may be addressed under the termination provisions of the applicable Agreement, including any required notice and cure procedure.
Good-faith complaints, requests for clarification, legal consultation, constructive criticism and ordinary disagreements shall not, by themselves, constitute misconduct.
12. Third-Party Platforms
Closeify may use third-party tools, platforms or service providers to support communications, scheduling, payments, meetings and service delivery. Their availability and use may be subject to separate terms and privacy policies.
Closeify shall not be responsible for independent third-party acts or failures beyond its reasonable control, except to the extent liability remains applicable under the relevant Agreement or applicable law.
13. Website Content and Availability
We endeavour to keep website content accurate and current. However, general website content may be updated, corrected or withdrawn without prior notice.
We do not warrant uninterrupted or error-free website availability. This does not exclude any liability for a failure to perform a contractual or statutory obligation that cannot lawfully be excluded.
14. Limitation of Liability
To the extent permitted by applicable law and subject to the accepted Agreement, Closeify shall not be liable for indirect, incidental, special or consequential losses arising from the use of general website information or from circumstances beyond its contractual responsibilities.
Nothing in these Terms excludes or restricts liability for fraud, wilful misconduct, obligations that cannot lawfully be excluded, or any other liability that applicable law requires to remain enforceable. Any contractual liability cap or exclusion specific to a paid engagement must be established by the applicable Agreement and interpreted in accordance with applicable law.
15. Suspension and Termination
Suspension or termination of a paid engagement shall be governed by the applicable Agreement, including any notice, cure period, material-breach provisions and accrued rights.
Closeify may restrict access to the website where reasonably necessary for security, maintenance, legal compliance or prevention of misuse. Such restriction does not, by itself, determine the rights or obligations arising under an existing paid engagement.
16. Governing Law and Dispute Resolution
These Terms shall be interpreted in accordance with applicable laws of India, to the extent applicable.
Disputes arising from a paid engagement shall be handled under the dispute-resolution provisions of the applicable Agreement. Where no valid contractual provision governs the dispute, the parties may pursue remedies before a competent forum in accordance with applicable law.
Nothing in these Terms prevents a party from approaching a court, tribunal, regulator or other authority where such access cannot lawfully be restricted.
17. Amendments and Severability
Closeify may revise these website Terms from time to time and publish the revised version with an updated effective date.
Changes to an existing paid engagement must follow the amendment requirements of the applicable Agreement. Website publication alone shall not constitute acceptance of a material contractual variation by an existing client.
If any provision is found unenforceable, the remaining provisions shall continue to apply to the extent legally permissible. Any invalid provision shall be interpreted or severed only to the extent necessary under applicable law.
