01Scope and Interpretation

1.1 “Client” means the person or entity entering into the engagement. “Agreement” means the service terms and schedules validly accepted by the parties, including any valid written amendments.

1.2 “Deliverable” means an identified service output required under the Agreement. “Agreed Due Date” includes a revised date validly agreed under it. “Allocated Fee” means the fee expressly allocated to that Deliverable in the agreed schedule.

1.3 “Cure Period” means one period of ten (10) calendar days from receipt of the written non-delivery notice. Business days have the meaning assigned in the Agreement. Calendar days include weekends and holidays.

1.4 This Policy applies to Closeify’s business consulting, sales mentorship and high-ticket sales closing services, to the extent disclosed and validly incorporated into the respective engagement. Each engagement must identify its own obligations, deliverables, due dates and fee allocations. Extension to additional services does not retrospectively alter existing accepted terms.

02Persons Eligible for a Refund

2.1 A Client is eligible under the non-delivery mechanism only where all of the following conditions are satisfied:

  • The Deliverable forms part of the accepted Agreement and payment covering its Allocated Fee has been received.
  • The Agreed Due Date has elapsed without submission of the Deliverable.
  • Closeify has received written notice identifying the outstanding Deliverable and its Agreed Due Date.
  • The Deliverable remains unsubmitted at the expiry of the Cure Period.

2.2 An authorised representative may submit a notice for the Client but does not acquire an independent entitlement to receive the refund. Eligibility shall be assessed against accepted terms and relevant records, rather than discretionary approval.

03When a Refund Is Available

3.1 Where Clause 2.1 is satisfied, Closeify shall refund the Allocated Fee for the Deliverable remaining unsubmitted upon expiry of the Cure Period. This is the sole voluntary contractual refund mechanism offered under this Policy, subject to the accepted Agreement and non-excludable rights under applicable law.

3.2 The Cure Period begins on receipt of the written notice, not automatically on payment or expiry of the Agreed Due Date. It does not extend other milestones or the overall completion date.

3.3 Submission within the Cure Period prevents a refund arising under this specific mechanism. Correction obligations and non-excludable rights remain unaffected.

04When a Refund Is Not Available

4.1 Subject to the Agreement and applicable law, no contractual refund arises solely from a change of mind, decision, preference, personal or financial circumstances, business priorities, voluntary withdrawal or discontinuation.

4.2 Choosing another provider, undertaking the work independently, receiving a refund from another provider, or electing not to use the services does not, by itself, create an entitlement. Closeify remains responsible for its own agreed obligations.

4.3 No refund arises under the non-delivery mechanism for an item not yet due, an item submitted on time or within the Cure Period, or a documented Client-dependent delay properly accommodated under the Agreement.

4.4 Subjective dissatisfaction with style, tone or approach does not, by itself, establish eligibility. This does not excuse material departures from agreed requirements.

4.5 Documented abusive language, threats, harassment, personal insults or other serious misconduct towards Closeify, its employees or authorised representatives constitutes a material breach. Closeify may issue written notice identifying the incident and supporting evidence and terminate in accordance with the applicable Agreement. Where the existing Agreement specifies five (5) business days from notice, that procedure shall govern; this Policy does not replace it with automatic immediate termination.

4.6 Termination for established misconduct does not, by itself, confer a contractual refund entitlement, including for undelivered components, subject to the accepted Agreement, applicable law and accrued rights. No existing refund entitlement is automatically forfeited. Paid-for completed materials and other surviving obligations shall be dealt with under the Agreement.

4.7 Constructive feedback, ordinary disagreement, requests for contractual protections, legal advice and good-faith complaints are not misconduct. Where necessary to address an immediate safety concern, Closeify may end the affected interaction and use an appropriate alternative communication channel; this does not itself determine termination or refund eligibility.

05Persons Not Eligible Under This Mechanism

5.1 A person who is neither the Client nor otherwise legally entitled to enforce the relevant right has no independent contractual entitlement under this Policy.

5.2 A Client who has not satisfied Clause 2.1 does not qualify merely by requesting a refund. A notice received before the Cure Period expires does not establish an accrued refund entitlement; however, a communication identifying an overdue Deliverable and its due date may itself constitute the required notice.

5.3 These provisions do not extinguish an accrued entitlement or restrict rights available under applicable law.

06Agreement Execution and Proposed Amendments

6.1 Where the parties have already concluded a binding engagement on material terms disclosed and accepted before payment, and the subsequent written agreement accurately records those terms without material additions or variations, the Client’s refusal or delay in signing shall not, by itself, create a contractual refund entitlement.

6.2 Subject to Clause 6.1, a request to cancel solely because Closeify declines proposed amendments, additional protections, guarantees or other terms not previously agreed shall be assessed under the existing accepted cancellation and refund provisions. Neither party is obliged to accept a proposed variation merely because it has been requested.

6.3 Exchanging drafts, considering amendments or participating in multiple review rounds does not, by itself, establish acceptance of a proposed amendment or create a new refund entitlement. Likewise, the passage of fifteen (15), twenty (20) or any other number of days does not, by itself, establish consent or determine eligibility.

6.4 Payment alone shall not be treated as acceptance of terms first disclosed afterwards. This clause does not apply as a blanket exclusion where material terms remained unresolved, commencement was expressly conditional on execution, or the later agreement materially differs from previously accepted terms.

6.5 Where formation, acceptance or consistency of terms is disputed, the parties shall examine the accepted proposal, payment communications, correspondence and other relevant records. Closeify shall not retain payment solely by relying on an unsigned draft or a subsequently published policy. The outcome remains subject to the established agreement and applicable law.

6.6 Genuine requests for clarification or legal advice shall not be characterised as misconduct. No indefinite suspension or blanket extension of delivery dates arises merely because agreement discussions continue.

07Refund Amount and Disbursement

7.1 The contractual refund equals the affected Deliverable’s Allocated Fee. Non-delivery of one item does not, by itself, entitle the Client to reimbursement of the entire engagement fee. Other Deliverables remain unaffected. This mechanism does not provide an automatic full-engagement refund. Where more than one Deliverable qualifies, each affected allocation is assessed separately; the resulting total is not artificially capped below the sum properly due.

7.2 Fee allocations must be agreed as required by the Agreement. No unilateral allocation or retrospective reallocation shall be introduced after a dispute. An incomplete allocation shall be addressed in accordance with the Agreement and applicable law, not resolved by unilateral valuation.

7.3 A refund due under this mechanism shall be paid within seven (7) business days following expiry of the Cure Period, with a written breakdown identifying the Deliverable, its allocation and the amount refunded.

08Submission and Rectification

8.1 A Deliverable must be supplied in the agreed usable format. A completion message or inaccessible link does not, by itself, constitute submission.

8.2 Under the applicable contractual review procedure, the Client has five (5) business days to provide consolidated comments concerning omissions, errors or departures from scope. Closeify shall make required corrections within five (5) business days or another mutually agreed period.

8.3 Latent defects may be raised later in accordance with the Agreement. Silence or review does not, by itself, constitute acceptance where the Agreement provides otherwise. Submission does not excuse materially deficient work.

09Client Dependencies and Timelines

9.1 Closeify shall identify required Client inputs, access or approvals in writing, together with the relevant dependency and effect on timing.

9.2 Adjustments must follow the Agreement and be limited to the actual dependency-related delay. Outstanding inputs do not create a blanket extension for unrelated obligations or excuse delays attributable to Closeify.

10Notice and Supporting Records

10.1 Send written notices to hello@closeify.in and copy the agreed WhatsApp contact where required by the Agreement.

10.2 Identify the Client and engagement reference, affected Deliverable, Agreed Due Date, alleged issue and available supporting correspondence.

10.3 Notices shall be assessed by substance and applicable contractual requirements. Administrative requests shall not postpone a refund already due.

11Delivery Disputes

11.1 If submission or its timing is disputed, the parties shall exchange relevant files, trackers and delivery records, including available email, portal and WhatsApp timestamps.

11.2 The parties shall endeavour in good faith to resolve the issue within ten (10) business days, following which the Agreement’s dispute-resolution provisions apply. Access to a competent court, tribunal or authority remains available where it cannot lawfully be restricted.

12Pre-Payment Evaluation and Reservation of Rights

12.1 Closeify ordinarily permits a pre-payment consideration and payment-arrangement period of two (2) to ten (10) days, as communicated for the engagement. Clients are encouraged to obtain information, seek clarification and assess suitability during that period. It is not a post-payment trial, cancellation window or money-back guarantee.

12.2 Expiry of that period or payment in full does not prove that every term was disclosed or accepted. Evidence of acceptance shall govern. Refusal to accept proposed new terms is dealt with under Clause 6; mere passage of time or multiple draft iterations does not determine entitlement.

12.3 Payment does not, by itself, waive claims concerning fraud, misrepresentation, service deficiency or other non-excludable rights.

12.4 This Policy does not retrospectively amend existing engagements. Accepted terms prevail over inconsistent website wording, subject to applicable law. Amendments must follow the Agreement’s written amendment requirements.

12.5 Nothing in this Policy excludes any right, liability or remedy that cannot lawfully be excluded. For notices or policy enquiries, contact hello@closeify.in.
