1. Purpose and Scope
This Service Delivery Policy describes the general procedures governing the commencement, performance, submission, review and completion of Closeify’s business consulting, sales mentorship, high-ticket sales closing and related services.
The specific scope of an engagement shall be determined by the proposal, service agreement, statement of work, deliverables schedule and other documents validly accepted by Closeify and the client.
This Policy is intended to clarify service delivery procedures. It does not independently create additional deliverables, change agreed timelines, or retrospectively amend an existing engagement.
2. Nature of Services
Closeify provides professional services that may include business consulting, sales strategy, sales mentorship, training, sales process development, high-ticket sales closing support and related advisory or implementation work.
The services supplied to a particular client will depend on the scope expressly agreed for that engagement. Not every service described on the website is necessarily included in every package or engagement.
The client should review the applicable proposal and Agreement before making payment to confirm the services included, deliverables, fee allocations, timelines and relevant responsibilities.
3. Confirmation of Engagement
Following acceptance of a proposal or other applicable commercial terms, Closeify may provide onboarding instructions, confirm the agreed scope, establish communication channels and identify any information, access or approvals required from the client.
The engagement shall commence in accordance with the accepted Agreement, including any applicable conditions relating to payment, execution, onboarding or commencement approval.
Payment alone shall not be treated as acceptance of material terms first disclosed after payment. The formation and terms of an engagement shall be determined by the evidence of acceptance and applicable law.
4. Deliverables and Scope
Each engagement should identify the relevant Deliverables, Agreed Due Dates and, where applicable, the Allocated Fee for each Deliverable.
Depending on the engagement, Deliverables may include strategy documents, sales frameworks, training materials, consulting sessions, process recommendations, scripts, reports, trackers or other specifically agreed outputs.
Only Deliverables included in the accepted scope shall be treated as contractual delivery obligations. Verbal discussions, preliminary ideas or general website descriptions shall not automatically expand that scope, subject to any binding commitments established under applicable law.
Additional work, new requirements or material changes to agreed Deliverables must be handled through the variation procedure in the applicable Agreement.
5. Delivery Timelines
Closeify shall use the Agreed Due Dates and milestones established in the applicable Agreement or a valid written amendment.
Delivery dates may depend on the timely receipt of client information, approvals, access credentials, feedback or other expressly identified dependencies. Where a dependency affects delivery, Closeify shall communicate the relevant dependency and its reasonably attributable effect on the timeline.
Any timeline adjustment shall be limited to the extent permitted by the Agreement and reasonably attributable to the relevant dependency. A delay affecting one item shall not automatically extend unrelated obligations or excuse a delay attributable to Closeify.
Changes to a delivery date must be documented and agreed in accordance with the applicable Agreement.
6. Client Responsibilities
The client shall, as applicable:
- Provide accurate and complete information reasonably required for the agreed services.
- Supply agreed documents, business data, materials, access and approvals within the applicable timeframe.
- Identify a representative authorised to provide instructions and consolidated feedback.
- Review submitted Deliverables within the contractual review period.
- Notify Closeify promptly of material omissions, errors or departures from the agreed scope.
- Ensure that information, materials and instructions supplied to Closeify may lawfully be used for the engagement.
Where the client fails to provide a required dependency, Closeify shall address the resulting delay in accordance with the Agreement. Such a failure does not automatically excuse unrelated delivery obligations.
7. Delivery Methods and Submission
Depending on the nature of the engagement, services and Deliverables may be provided through email, video conferencing, online meetings, shared documents, digital workspaces, messaging platforms or another agreed communication channel.
A Deliverable shall be submitted in the format and manner agreed for that item. A completion message or reference to a file that cannot reasonably be accessed by the client shall not, by itself, establish valid submission.
Where delivery is made electronically, the parties may rely on relevant submission records, timestamps, email correspondence, portal records, file-access information and other available evidence to establish whether and when submission occurred.
8. Review and Correction Procedure
Where the applicable Agreement provides for a review period, the client shall ordinarily submit consolidated comments within five (5) business days of delivery, unless another period is agreed.
Comments should identify specific omissions, errors or material departures from the accepted scope. Closeify shall address corrections falling within the agreed scope within five (5) business days or another mutually agreed period, where that procedure applies under the Agreement.
Requests that introduce new requirements, materially expand the scope or seek additional Deliverables may require a separate written variation and additional fees.
The submission of a Deliverable does not, by itself, excuse materially deficient work. Silence, review or use of a Deliverable shall not automatically constitute acceptance where the Agreement or applicable law provides otherwise. Latent defects shall be addressed in accordance with the applicable Agreement and law.
9. Consulting and Mentorship Sessions
Where an engagement includes consulting or mentorship sessions, the number, frequency, duration, scheduling arrangements and any rescheduling requirements shall be governed by the accepted Agreement.
The client is responsible for attending scheduled sessions, providing relevant information and communicating scheduling conflicts within the applicable notice period.
A session shall be treated as delivered, rescheduled or missed in accordance with the agreed session terms. No universal cancellation, rescheduling or make-up-session entitlement is created by this Policy unless provided for in the applicable Agreement or required by law.
10. Service Completion
An engagement shall be considered complete in accordance with the completion criteria, deliverables schedule and other applicable provisions of the accepted Agreement.
Where the engagement contains multiple Deliverables, completion of one item does not necessarily establish completion of the entire engagement. Similarly, an outstanding item does not automatically invalidate the performance of unrelated items already properly delivered.
Any outstanding correction, handover, confidentiality, payment, intellectual property or other surviving obligation shall continue to be governed by the applicable Agreement.
11. Delivery Disputes
If the client disputes whether a Deliverable was submitted, whether submission occurred on time, or whether the output materially complies with the agreed scope, the parties should exchange relevant documents and records in good faith.
Such records may include the accepted scope, delivery schedules, submitted files, email communications, messaging records, trackers and applicable timestamps.
The parties shall endeavour to resolve delivery disputes in accordance with the dispute-resolution procedure in the accepted Agreement. Where the Refund Policy applies, its notice and Cure Period requirements shall be assessed separately from ordinary review and correction procedures.
Nothing in this section restricts access to a competent court, tribunal or authority where such access is available under applicable law.
12. Refunds and Non-Delivery
This Policy does not create a separate refund entitlement or replace the Closeify Refund Policy.
Where the Refund Policy has been validly incorporated into the engagement, a contractual refund under its non-delivery mechanism may arise if an eligible Deliverable remains unsubmitted after the applicable Agreed Due Date, written notice and ten (10) calendar-day Cure Period.
Any refund shall be calculated by reference to the relevant Allocated Fee in accordance with the accepted Agreement and Refund Policy. Where the mechanism applies, payment shall be made within seven (7) business days following expiry of the Cure Period.
The contractual refund mechanism does not automatically entitle a client to a refund of the entire engagement fee merely because one Deliverable is disputed. However, no provision of this Policy excludes an accrued contractual entitlement or a remedy that cannot lawfully be excluded.
13. No Guaranteed Outcomes
The delivery of a consulting, mentorship or sales service does not guarantee employment, placement, client acquisition, sales conversions, revenue, income or other commercial results.
Closeify’s obligations are determined by the agreed services and Deliverables, not by an assumed guarantee of business performance. Outcomes may depend on the client’s offer, pricing, lead quality, implementation, sales execution, resources and prevailing market conditions.
14. Communication and Notices
Routine delivery communications shall take place through the channels agreed for the engagement.
Formal notices relating to non-delivery, refund eligibility, material breach or termination must comply with the applicable Agreement and Refund Policy. Where the Refund Policy applies, notices should be sent to hello@closeify.in and copied to the agreed WhatsApp contact where contractually required.
Administrative requirements shall not be used to postpone an accrued refund or other entitlement contrary to the applicable Agreement or law.
15. Changes to This Policy
Closeify may update this Policy to reflect operational or legal changes. Revised terms shall be published on the website with an updated effective date, where appropriate.
Changes shall not retrospectively amend existing engagements. Any contractual variation must comply with the amendment provisions of the applicable Agreement.
